Project Consultancy Agreement – LifeWall

This Project Consultancy Agreement ("Agreement") is entered into by and between LifeWall Greentech Private Limited, hereinafter referred to as “LifeWall”, and the Client, who engages LifeWall’s services through the website www.lifewall.online or via any other direct engagement.

1. Scope of Services

1.1 Design and Documentation (If Purchased Or Part Of The Service Package)

LifeWall shall deliver design solutions based on the scope agreed with the Client, including but not limited to 2D conceptual designs, 3D views, layout plans, and working drawings. If opted for, detailed BOQ (Bill of Quantities) and technical descriptions will also be provided. These deliverables will be limited to the specific service tier purchased by the Client.

1.2 On-Site Design Supervision (If Purchased Or Part Of The Service Package)

Subject to the service package selected, LifeWall will provide weekly design supervision visits (as purchased or included in package/bundled product), conducted by a designated architect. These visits are intended to monitor the fidelity of site execution with respect to the approved design and highlight quality issues or deviations, if any, to the Turnkey Partner (TP) and Client.
Additional visits beyond the included quota may be purchased separately at standard rates as communicated by LifeWall.

1.3 Project Management Consultancy (If Purchased Or Part Of The Service Package)

Where the Client elects to avail Project Management Consultancy (PMC) services from LifeWall, such services shall be rendered as a coordinated and professional engagement aimed at ensuring the timely and quality-oriented execution of the design deliverables. LifeWall shall, in such case, act in the capacity of a consultant, providing advisory, coordination, and oversight support, but shall not assume the role of a contractor or legal executor of the works on-site.

The PMC scope shall include, but not be limited to, managing communications with vendors and contractors, coordinating work schedules, overseeing the execution of design intent, and maintaining progress through milestone-based monitoring. LifeWall shall provide timely updates to the Client, including photographic or written documentation, and may perform site inspections and quality checks to ensure the implementation aligns with the approved drawings, BOQ, and material specifications.

Any deviations by the Client from the recommended vendors, materials, or execution protocols may affect the quality and progress of execution, for which LifeWall shall not be held liable.

It is clarified that availing PMC services does not constitute a contractor-client relationship for execution purposes. The PMC engagement is strictly consultative in nature, and the Client retains full discretion over final contractor appointment and payments to vendors. PMC services shall be provided by LifeWall only in cases where the execution contractor has been recommended, onboarded, or facilitated directly by LifeWall. In such cases, LifeWall may coordinate with the appointed contractor for the purposes of supervision and milestone tracking.

Furthermore, LifeWall shall not be held liable for any payment made by the Client directly to a contractor unless such payment has been preceded by a written confirmation sent via automated email or verified WhatsApp communication from an official LifeWall business account. No instructions or approvals issued by individual employees of LifeWall shall be considered valid unless confirmed through such official channels. Any payments made outside these parameters shall be at the sole risk and responsibility of the Client, and LifeWall shall bear no obligation in regard to the resulting quality, execution, or management of the project.

1.4 Bundled Services or Combined Design & PMC Package

In cases where the Client opts for a bundled service package comprising both Design and Project Management Consultancy (PMC), or any other combination of services offered by LifeWall, it is expressly agreed that the terms, limitations, and conditions applicable to each individual service shall continue to apply independently. The bundling of services shall not alter the scope, liability, deliverables, or responsibilities associated with each component. Accordingly, deliverables related to design, PMC, or any other opted service shall be governed strictly as per their respective clauses defined in this Agreement and the corresponding Scope of Work documentation.

1.5 Off-Site / Virtual Supervision Services (If Opted)

Where the Client has opted for Off-Site or Virtual Supervision services, LifeWall shall provide periodic design guidance, remote coordination support, vendor alignment, and milestone-based reviews through digital means such as video calls, WhatsApp updates, emails, and shared documentation platforms. These services are consultative and advisory in nature and do not include any physical site presence unless explicitly included in the purchased service package.

The number of virtual supervision sessions or reviews shall be strictly limited to the quantity purchased by the Client at the time of engagement. Any additional sessions beyond the purchased allocation may be availed by the Client at an additional cost, subject to availability and prior scheduling.

LifeWall shall not be liable for any execution lapses, workmanship issues, or quality deviations resulting from miscommunication, lack of implementation, or decisions made independently by the Client or their contractors, beyond the scope of advisory inputs shared during virtual sessions. The Client acknowledges that successful project execution remains contingent upon timely adherence to shared instructions and on-ground coordination.

1.6 Execution Services (If Opted)

If the Client opts to avail execution or transformation services for implementation of the design, such services shall be governed under a separate Tripartite Agreement to be executed between the Client, the appointed Contractor or Transformation Partner (TP), and LifeWall. This agreement shall clearly define the scope of execution, responsibilities, commercial terms, payment modalities, quality benchmarks, and warranty clauses (if any).

LifeWall’s role in such cases shall be limited to facilitating the engagement and overseeing coordination as per the agreed terms in the tripartite arrangement. No execution responsibility shall be assumed by LifeWall unless explicitly outlined in the said agreement.

2. Payment Terms

All fees for design and project management consultancy (PMC) services shall be payable by the Client on a 100% advance basis or as per the agreed milestone schedule, depending on the nature and structure of the selected service package.

Payments related to execution or transformation services—if separately availed—shall be made directly by the Client to the assigned Transformation Partner (TP). LifeWall shall not be responsible for the financial or contractual obligations between the Client and the TP unless otherwise explicitly stated in a separate tripartite agreement.

In case the Client opts for additional services, or seeks modifications beyond the originally defined scope of work, such changes shall be undertaken only upon prior written approval and shall be billed separately.

All applicable taxes, including Goods and Services Tax (GST) or any other statutory levies, shall be charged extra and are payable in accordance with prevailing law.

3. Change Management

Any request for modification, additional scope, or design alteration after deliverables have been shared will be treated as a new requirement. Such changes shall be scoped and priced separately and timelines will be revised accordingly.

4. Confidentiality

Both parties agree to maintain confidentiality of all business information, design data, documents, client identities, pricing, vendor details, and other proprietary information. No part of the project deliverables may be disclosed to third parties without prior written approval.

5. Intellectual Property Rights

All designs, drawings, content, presentations, and documentation shared by LifeWall shall remain its intellectual property. The Client is granted a non-transferable, non-commercial license to use these materials solely for the agreed project. Reproduction, resale, or use on other sites or projects is prohibited without permission.

6. Indemnification

The Client agrees to indemnify and hold LifeWall harmless from any damages, claims, losses, or third-party disputes arising from:

  • Use of deliverables without supervision

  • Non-compliance with recommended vendors, materials, or execution standards

  • Delays or quality issues resulting from third-party execution teams not engaged through LifeWall

7. Limitation of Liability

LifeWall shall not be liable for any indirect, incidental, or consequential damages, including delays in execution, acts of third-party contractors, or misuse of designs by the client or their vendors. Total liability shall not exceed the fees paid for the design consultancy.

8. Force Majeure

LifeWall shall not be held responsible for delays or inability to perform due to events beyond its reasonable control including strikes, natural calamities, government actions, or pandemics.

9. Governing Law & Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of India. Any disputes arising shall be subject to the exclusive jurisdiction of courts in New Delhi, India.

10. Acceptance

By proceeding with payment or availing LifeWall’s design or consultancy services, the Client agrees to these Terms and Conditions.
